Our firm is managed by a team of highly experienced executives from the banking, insurance and investment industry, recognized as experts in their field of competence all with an impeccable track record of proven succes, integrity and reliability.
Shareholders
Lux Credit Securities strives for a modern corporate governance strategy that takes into account the interests of each shareholder. The shareholders are actively involved in any matters that are critical to the company’s continuity and success beyond the appointment of the Board and the annual accounts. Our firm has assigned a Trust Office through where shareholders can announce a proxy and/or issue voting instructions. Each share in the capital of our firm gives entitlement to cast one vote. The voting rights can be exercised by the holder of the share. Shareholders who attend a shareholders’ meeting in person are entitled to cast votes at their own discretion on a number of shares equal to the number of shares that the shareholder holds on the relevant record date. Shareholders may also exercise their voting rights even if they do not attend a shareholders’ meeting by granting a proxy to a third party. When shareholders do not attend, have not granted a voting proxy nor issued voting instructions Voting is guided primarily by the interests of the shareholders taking into account their interests.  None of the shareholders individually holds a stake in excess of 25% in Lux Life Securities. The sale and transfer of shares is restricted to ensure stability, consistency and continuity of the undertaking.
Board of Directors
The Board is elected by the shareholders. The Board’s primary responsibility is to safeguard the bondholder’s rights, safeguarding the growth and protection of the asset value, as well as the growth of the profitability and shareholder value, all within the regulatory framework. The Board monitors business performance, conducts oversight on regulatory, legal and fiscal compliance, statutory reporting and implementation of social responsibility policies. The Board consists of 5 directors. None of them holds personal interests in the company that reasonably could influence their objectivity. The Board has drawn up a Charter which includes its duties, powers and working methods and information on its relationships with the stakeholders of the company. All members  have underwritten the company’s Directors Code of Conduct. All employees have underwritten the company’s Employee Code of Conduct.
People
Mr. Piet Saarloos
Mr. Saarloos, Dutch national, is a international investment banker, business lobbyist and entrepreneur for more than 30 years. He started his career at ING in the Netherlands, advancing as financial controller, country general manager to various executive roles amongst them at ING Direct. As member of the global leadership team at AT&T Europe Middle East &Africa he completed major corporate financial deals with some of the largest banks in the world for which he received several special achievement awards. In his role of advisor to the Executive Director of World Bank and IMF he structured, negotiated and completed numerous financial transactions with governments funding humanitarian projects and projects of major economic importance. Mr. Saarloos holds participations in several investment companies in Luxembourg. He is a recognized specialist in capital markets, structured bonds, corporate investments strategies and global business development. Mr. Saarloos holds  degrees in strategic management, business administration, finance and economics from several Dutch business schools and post–academic diplomas from ING Academy and AT&T Leadership University.

Mr. Brian Foy
Mr. Foy, a Canadian national, is a successful entrepreneur with over thirty years' experience in the Technology and Financial sectors. He advanced his career at Ontario Power Generation, an $8 Billion corporation as the Manager Computer Services. At Capgemini, he led a large team of IT professionals responsible for providing day to day operational infrastructure support for Capgemini’s client base throughout Ontario. As a founding shareholder and Vice President of Tundra Technical Solutions, a Human Resources company, Mr. Foy contributed to the exceptional growth and expansion of the business. In June 2010 Profit Magazine named Tundra the 3rd fastest growing company in Canada. Mr. Foy is the founder and Managing Director of NorthLight Technical Inc., a human resources company with engineering, technology and financial experts.Mr. Foy is also the founder and Managing Director of NorthLight Payroll Corp (NLP), a provider of uniquely structured payroll solutions to raise capital for Canadian Tier 1 companies.  NLP innovatively combined reverse factoring, third party financing, payroll services, and credit insurance to provide large companies, with high ratio Labour Costs (typically western Canada oil patch), access to capital of $2M and up. All, or part, of the client’s payroll is funded and serviced by NLP. This unique facility builds over subsequent payrolls to the maximum loan amount and 'revolves' to the term of the contract.

Mr. Corey Goodman
Corey Goodman is a specialist in mergers and acquisitions, corporate finance and business restructuring. He most recently served as a senior officer of Tuckamore Capital, a TSX issuer, which owned majority interests in 8 mature Canadian companies in industrial services, information technology and retail sales. Mr. Goodman is also the Principal of Goldcrest Capital, and is an adviser to, and investor in, several businesses in real estate, hospitality, and financial services. Mr. Goodman is a graduate of the University of Western Ontario, with distinction, and the Osgoode Hall Law School where he received the Country of York Centennial award.
Independent Experts
The Board has assigned special task forces to provide second opinions in support of tactical decision making. The task forces consist of at least one Director and several outside experts. A task force provides recommendations to the Board on critical business issues like new bond issues, asset purchases, as well as policies and directives with respect to risks. The four task forces are Loan Origination, Investment Management, Legal and Regulatory and Credit Risk Management.
Outsourcing
We have outsourced most part of our core business processes to reputable service providers, i.e. specialized depositories, administrators, paying and calculation agents, security trustees, etc. Lux Credit Securities has streamlined workflows and the communications with these parties. Our customers can therefore be assured of faultless operations, full regulatory compliance and safe and secure transactions. Incidentally we utilize top-rated, accredited experts, i.e. rating agencies, tax advisors and law firms for statutory and regulatory issues.
